Model ST903203FGA2E1-RK shows 0 bytes free even though hd is recognized and shows up in device mgr

I have a newly purchased 320gb Seagate ST903203FGA2E1-RK, when I hook it up thru usb it is recognized by my hp desktop running windows xp.  The seagate manager software shows "unknown partition with 0 bytes free".  This is some sort of software conflict between seagate manager and my version of xp.  I have a slightly older laptop that the external hd works just fine with.  I have tried all the usual fixes, ie: remove software, reinstall software, tested drive, reboot, reformat ext hd, etc... to no avail.  The hd shows up in device manager as healthy with an appropriate amount of free memory so I know it is operating normally.  Very annoying.
